Welcome to LunoFlow. These Terms of Service ("Terms") govern your use of the LunoFlow accounting software and services ("Service") operated by LunoFlow ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and agree to comply with these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

LunoFlow provides cloud-based accounting software designed for US small businesses and self-employed individuals. Our Service includes:

  • Invoice and estimate creation and management
  • Expense and income tracking
  • Financial reporting, including Schedule C report generation
  • Client and vendor management
  • Bank transaction import and categorization
  • Accountant collaboration features

3. Account Registration

To use our Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription and Payments

Plans and Pricing

We offer Free and Pro subscription plans. The Free plan includes core features with certain limitations. The Pro plan includes additional features as described on our pricing page. Prices are subject to change with notice.

Free Trial

New Pro subscriptions may include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial.

Billing

Pro subscriptions are billed monthly through Stripe, our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date.

No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for partial months, unused features, or account cancellation. This no-refund policy applies to all circumstances.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to transmit malware or harmful code
  • Scrape, copy, or redistribute Service content without permission
  • Violate the rights of others, including intellectual property rights
  • Harass, abuse, or harm other users

6. User Content and Data

Your Data

You retain ownership of all data you submit to the Service ("Your Data"), including financial records, invoices, and business information.

License to Us

You grant us a limited license to use, store, and process Your Data solely to provide and improve the Service. This license ends when you delete your account.

Backup Responsibility

While we maintain backups for disaster recovery, you are responsible for maintaining your own copies of important financial records. We recommend regularly exporting your data.

7. Important Disclaimers

Not Professional Advice

LunoFlow is not a tax preparation service, accounting firm, or financial advisor. The Service is a software tool designed to help you organize and track your financial data.

  • We do not provide tax, legal, accounting, or financial advice
  • Schedule C reports and other financial reports generated by LunoFlow are informational tools only and are not official tax filings
  • You should consult a qualified tax professional, accountant, or attorney for advice specific to your situation
  • We do not guarantee the accuracy of any calculations or reports for tax or legal compliance

Your Responsibility for Accuracy

You are solely responsible for the accuracy of all data you enter into LunoFlow. We do not verify, audit, or validate your financial information. Any errors in your input data will result in errors in generated reports. You should review all outputs carefully before using them for any purpose.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • WE ARE NOT LIABLE FOR ANY TAX PENALTIES, FINES, OR LIABILITIES ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON REPORTS GENERATED BY THE SERVICE
  • WE ARE NOT LIABLE FOR ANY LOSS OR CORRUPTION OF YOUR DATA

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless LunoFlow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your financial data, tax filings, or business decisions
  • Any claims by third parties related to your use of the Service

10. Accountant Access (For Business Owners)

If you grant an accountant access to your LunoFlow account:

  • You authorize them to view and manage your financial data
  • You are responsible for choosing a trustworthy accountant
  • We are not responsible for the actions of accountants you grant access to
  • You can revoke access at any time through your account settings
  • Revoking access immediately prevents the accountant from viewing your data

11. Accountant Subscriptions (For Accounting Professionals)

If you subscribe to LunoFlow as an accountant or bookkeeper to manage client accounts:

Accountant Plans

We offer subscription plans specifically for accounting professionals, with different client capacity limits. Current plans and pricing are available on our accountant pricing page. Pricing is subject to change with notice.

Client Benefits

When you invite clients through your accountant portal, they receive access to LunoFlow Pro features at no additional cost to them, for as long as you maintain an active accountant subscription and they remain linked to your account.

Professional Responsibilities

As an accountant using LunoFlow, you agree to:

  • Obtain proper authorization from each client before accessing their financial data
  • Handle client data in accordance with your professional licensing requirements and applicable privacy laws
  • Maintain the confidentiality of client financial information
  • Not share client data with unauthorized third parties
  • Notify us if you believe a client's data has been compromised

Data Processing Role

When accessing client accounts, you act as a data processor on behalf of your clients (the data controllers). You are responsible for ensuring your data handling practices comply with applicable laws and your professional obligations.

Client Access Revocation

Clients may revoke your access at any time. Upon revocation, you will immediately lose the ability to view or modify that client's data. We log all access to client accounts for audit purposes.

Professional Licensing

LunoFlow does not verify your professional credentials or licensing status. You represent that you are properly licensed or qualified to provide accounting or bookkeeping services in your jurisdiction, if such licensing is required.

12. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination:

  • Your right to use the Service will cease immediately
  • We may delete your account and data after a reasonable period
  • You should export any data you wish to retain before termination
  • Provisions that by their nature should survive termination will remain in effect

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Delaware.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LunoFlow regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
